Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Athlio LLC (“Athlio,” “we,” “us,” or “our”) governing your access to and use of our mobile apps (iOS and Android) and our website at athlioapp.com (together, the “Services”). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

Who may use the Services

You must be at least 13 years old to use the Services. If you are between 13 and 18, you may use the Services only with the involvement and permission of a parent or guardian who agrees to these Terms on your behalf.

A child under 13 is not a user of the Services. Children under 13 do not create accounts, sign in, or use Athlio, and are not parties to these Terms. A parent or guardian may represent a child under 13 as the subject of a player profile the guardian creates and controls, and agrees to these Terms and our Privacy Policy to the extent they provide the child’s information.

If you use the Services on behalf of a team, club, or organization, you represent that you are authorized to accept these Terms for that entity.

Accounts

You agree to provide accurate, current, and complete information when you create an account and to keep it up to date. You are responsible for keeping your login credentials secure and for all activity that occurs under your account. Do not share your credentials or let anyone else use your account, and notify us promptly of any unauthorized use.

A single account may hold more than one role — for example, parent or guardian, coach or team manager, and instructor.

The Athlio marketplace

Athlio is a venue that helps families connect with coaches, clubs, and instructors. We do not employ, endorse, screen, or supervise the coaches, instructors, teams, or clubs listed on the Services, and we are not a party to any tryout, lesson, roster decision, event, or other arrangement that users make through the Services.

You are solely responsible for your own decisions and interactions with other users, including evaluating and verifying any coach, instructor, team, or activity, and making your own judgments about their suitability and safety. You interact with other users at your own risk.

The Services are currently free to use. If we introduce paid features in the future, we will present the applicable terms and pricing at the time of purchase.

Youth safety and minors

Athlio is built for youth sports, and protecting minors is a core commitment.

A parent or guardian who creates a profile for a child confirms that they are the child’s parent or legal guardian and consents, on the child’s behalf, to these Terms and to the collection and use of the child’s information as described in our Privacy Policy. A child under 13 is represented as a record the guardian manages, not as a user; the guardian controls the profile and may review, change, or remove the child’s information at any time.

Athletes under 13 are not contacted directly through the Services; communications concerning them are routed to a parent or guardian. You must obtain any necessary consent before uploading or sharing content that features an identifiable minor. We provide tools to block and report other users, and we may remove content or suspend accounts to protect the safety of minors and other users.

Acceptable use

You agree not to:

  • use the Services in violation of any law or the rights of others;
  • harass, bully, threaten, stalk, impersonate, or endanger any person, including any minor;
  • post or share content that is unlawful, defamatory, obscene, sexually explicit, hateful, discriminatory, or that exploits or endangers a minor;
  • collect, scrape, or harvest other users’ information, or use the Services to build a competing product or dataset;
  • contact or attempt to contact a minor in a way that circumvents the Services’ routing of communications through a parent or guardian;
  • upload malware or interfere with, disrupt, or compromise the security or integrity of the Services;
  • reverse engineer or attempt to derive the source code of the Services, except where that restriction is prohibited by law;
  • use bots, scrapers, or other automated means to access the Services without our permission; or
  • misrepresent your identity, role, or affiliation.

We may investigate and take appropriate action, including removing content and suspending or terminating accounts, for any violation.

Your content

You may post content such as profiles, team listings, photos, and messages (“User Content”). You keep ownership of your User Content.

You grant Athlio a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute your User Content solely as needed to operate and provide the Services. This license ends when you or we delete the User Content, except to the extent it has already been shared with others who have not deleted it, or where we must retain it to comply with law.

You represent that you have the rights necessary to post your User Content and to grant this license, that your User Content does not violate these Terms or the rights of others, and that for any content featuring a minor you have obtained all necessary consents. We may remove User Content that we believe violates these Terms or the law, or that may harm users or the Services. Athlio is not a storage or backup service, and we are not responsible for any loss of User Content.

Intellectual property

The Services — including their software, design, text, graphics, logos, and the “Athlio” name and marks — are owned by Athlio or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose, subject to these Terms. You may not copy, modify, distribute, or create derivative works from the Services except as permitted by law.

Third-party services

The Services rely on third-party providers (for example, for sign-in, hosting, and notifications) and may link to third-party websites or services. We are not responsible for third-party services, and your use of them is governed by their own terms and privacy policies.

Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Athlio disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any coach, instructor, team, event, or other user will meet your expectations. Athlio is not responsible for the conduct of any user, whether online or offline, including at any tryout, lesson, practice, game, or event arranged through the Services.

Limitation of liability

To the fullest extent permitted by law, Athlio and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Services.

To the fullest extent permitted by law, Athlio’s total liability for all claims relating to the Services will not exceed the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Indemnification

You agree to indemnify and hold harmless Athlio and its owners, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your User Content, your interactions with other users, or your violation of these Terms or any law or third-party right.

Dispute resolution and governing law

If you have a concern, please contact us first at privacy@athlioapp.com so we can try to resolve it informally.

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You and Athlio agree that the state and federal courts located in Texas will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to personal jurisdiction in those courts.

Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, if required by law, or to protect the Services or other users. Provisions that by their nature should survive termination — including the intellectual-property, disclaimer, limitation-of-liability, indemnification, and dispute-resolution provisions — will survive.

Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after the changes take effect means you accept the revised Terms.

General

These Terms, together with our Privacy Policy, are the entire agreement between you and Athlio regarding the Services. If any provision is found unenforceable, the remaining provisions will stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
